basically copies from one to the other including all subdirectories.
/s for all subdirectories except emty ones.

type xcopy /? in a cmd window for all the switches.

uh if you just want to copy the contents of a drive (new drive to old drive), why are you writing a batch file? (that implies you want it for a repeatable task).
Why dont you open my computer, open the new drive. Open my computer again and click on the old drive. On the old drive select everything and push copy. Then point your mouse in the new drive and push paste.
(there are quicker ways of doing this through the GUI, but i thought id provide the most simple description possible)
